Welcome to Zorai. These Terms of Service ("Terms") govern your access to and use of our AI-powered video generation platform and related services (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
Zorai is operated from Chemin du Pré-Guillot 9, Switzerland and these Terms are governed by Swiss law.
2. Definitions
- "User", "you", "your": Any individual or entity that accesses or uses the Service.
- "We", "us", "our", "Company": Zorai and its operators.
- "Content": Any text, images, videos, audio, prompts, or other materials uploaded, generated, or published through the Service.
- "User Content": Content that you upload, submit, or provide to the Service.
- "Generated Content": Videos and other materials created by our AI systems based on your inputs.
3. Account Registration
To use certain features of the Service, you must create an account.
- You must be at least 16 years old to create an account.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
4. Service Description
Zorai provides an AI-powered platform that allows users to:
- Generate videos from text prompts using artificial intelligence
- Create and manage AI characters for consistent video generation
- Publish generated videos to connected social media platforms (TikTok, YouTube, Instagram)
- Schedule and manage social media posts
5. Subscription and Payment
5.1 Pricing
We offer various subscription plans with different features and usage limits. Current pricing is available on our website and may change with notice.
5.2 Billing
- Subscriptions are billed in advance on a monthly basis.
- All fees are non-refundable except as required by law or as explicitly stated in these Terms.
- We offer a 14-day money-back guarantee for first-time subscribers.
5.3 Usage-Based Limits
- Each plan includes a monthly allocation of video generation minutes.
- Unused minutes do not roll over to the next billing period.
- Additional minutes can be purchased and do not expire until used.
5.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
6. User Content and Intellectual Property
THIS SECTION CONTAINS IMPORTANT INFORMATION ABOUT YOUR RESPONSIBILITIES REGARDING CONTENT AND COPYRIGHT.
6.1 Your Content, Your Responsibility
You are solely and exclusively responsible for all User Content that you upload, submit, or provide to the Service. This includes but is not limited to:
- Text prompts and descriptions
- Reference images and photographs
- Audio files and voice recordings
- Any other materials you provide
6.2 Intellectual Property Warranties
By using the Service, you represent and warrant that:
- You own or have obtained all necessary rights, licenses, consents, and permissions to use and authorize us to use all User Content.
- Your User Content does not infringe, violate, or misappropriate any third-party intellectual property rights, including copyrights, trademarks, patents, trade secrets, moral rights, privacy rights, publicity rights, or any other proprietary rights.
- You have obtained all necessary releases, consents, and permissions from any identifiable individuals appearing in your User Content.
- Your use of the Service and any Generated Content will not violate any applicable law or regulation.
6.3 Copyright Infringement - User Liability
IMPORTANT NOTICE:
Zorai is a neutral technology platform that processes content based on user inputs. We do not review, verify, or approve User Content before processing.
YOU ARE FULLY AND SOLELY LIABLE for any copyright infringement, intellectual property violations, or other legal claims arising from:
- User Content you upload or submit
- Generated Content based on your inputs
- Your publication or distribution of any Content through the Service
- Your use of Generated Content for any purpose, commercial or otherwise
6.4 No Platform Liability for User Actions
Zorai acts solely as a technology service provider. We:
- Do not pre-screen, monitor, or review User Content for intellectual property compliance
- Are not responsible for determining the legality or ownership of User Content
- Make no representations about the intellectual property status of Generated Content
- Are not liable for any claims, damages, or losses arising from your use of the Service in violation of third-party rights
6.5 License Grant to Zorai
By submitting User Content, you grant Zorai a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your Content or account, except for Content already shared with third parties (e.g., published to social media).
6.6 Ownership of Generated Content
Subject to your compliance with these Terms and applicable law, you retain ownership of Generated Content created through your use of the Service. However, this ownership is limited by and subject to:
- Any third-party intellectual property rights that may exist in the Generated Content
- The rights of any individuals depicted
- Applicable laws regarding AI-generated content
7. Prohibited Uses
You agree NOT to use the Service to:
- Create content that infringes any copyright, trademark, or other intellectual property rights
- Generate content depicting real individuals without their consent
- Create deepfakes, non-consensual intimate imagery, or misleading content intended to deceive
- Produce content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Generate content that promotes violence, discrimination, or hatred
- Create sexually explicit or pornographic content
- Impersonate any person or entity or misrepresent your affiliation
- Circumvent any access restrictions or usage limits
- Reverse engineer, decompile, or attempt to extract the source code of our AI systems
- Use automated systems to access the Service (except approved APIs)
- Resell or redistribute the Service without authorization
8. DMCA and Copyright Claims
8.1 Respect for Intellectual Property
We respect intellectual property rights and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law.
8.2 Reporting Copyright Infringement
If you believe that your copyrighted work has been used in a way that constitutes copyright infringement, please send a notice to:

8.3 Repeat Infringers
We reserve the right to terminate accounts of users who repeatedly infringe intellectual property rights.
9. Indemnification
You agree to indemnify, defend, and hold harmless Zorai, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your User Content
- Your use of Generated Content, including any claims of copyright infringement, trademark infringement, or other intellectual property violations
- Your publication or distribution of Content through the Service or third-party platforms
- Any claim that your User Content or Generated Content caused damage to a third party
- Your violation of any applicable law or third-party rights
This indemnification obligation survives termination of these Terms and your use of the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
WE MAKE NO WARRANTY THAT GENERATED CONTENT WILL BE FREE FROM INTELLECTUAL PROPERTY CLAIMS OR SUITABLE FOR ANY PARTICULAR PURPOSE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZORAI SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or business opportunities
- Any damages arising from intellectual property claims related to User Content or Generated Content
- Any damages resulting from your reliance on Generated Content
Our total liability for any claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) CHF 100.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
12. Third-Party Services
The Service may integrate with third-party services, including social media platforms (TikTok, YouTube, Instagram). Your use of these platforms is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.
When you connect a social media account or publish content to third-party platforms, you agree to comply with their terms and content policies. We are not liable for any account suspensions, content removals, or other actions taken by third-party platforms.
13. Termination
13.1 Termination by You
You may terminate your account at any time by using the account deletion feature or contacting us at alopez.nevicom@gmail.com.
13.2 Termination by Us
We may suspend or terminate your account immediately, without notice, if you:
- Violate these Terms
- Engage in fraudulent or illegal activities
- Infringe third-party intellectual property rights
- Abuse the Service or other users
13.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your account data after a reasonable retention period
- Sections 6 (Intellectual Property), 9 (Indemnification), 10 (Disclaimers), 11 (Limitation of Liability), and 15 (Governing Law) survive termination
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:

- Updating the "Last updated" date
- Sending an email notification to registered users
Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.
15.2 Jurisdiction
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Switzerland.

16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zorai regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 No Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or our right to enforce it later.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Force Majeure
We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet failures.
